Altun Gıda Strengthens Integrated Food Vision with Seğmen Kardeşler Gıda Investment

The first phase of Altun Gıda’s investment in Seğmen Kardeşler Gıda Üretim ve Ambalaj Sanayi A.Ş., undertaken jointly with GMS Yatırım Holding and Ümit Gümüş, has been completed with the approval of the Competition Authority. The Authority approved the transfer of 74.85% of the company’s shares.

Following the approval of the first phase of the share transfer, Anıl Altun, Deputy Chairman of the Board of Directors of Altun Gıda, who plays a decisive role in the management of Seğmen Kardeşler Gıda, said, “This step will further advance our vision of becoming a globally integrated food company.”

The decision was made to finalize the process of transferring 74.85% of the shares of Seğmen Kardeşler Gıda Üretim ve Ambalaj Sanayi A.Ş., founded in 1938, to Altun Gıda, GMS Yatırım Holding, and Ümit Gümüş in two phases after obtaining the necessary approval from the Competition Authority.

In the first phase of the investment, effective from June 30, 2026, Altun Gıda A.Ş. acquired 30,000,000 TL nominal Class A shares and 14,750,000 TL nominal Class B shares; and GMS Yatırım Holding A.Ş. acquired 5,000,000 TL nominal Class A shares and 39,750,000 TL nominal Class B shares. As part of this transaction, Altun Gıda and GMS Yatırım Holding gained control of Seğmen Kardeşler Gıda Üretim ve Ambalaj Sanayi A.Ş. by acquiring 71.056% of the voting rights. In the second phase, GMS Yatırım Holding A.Ş. will acquire 1,000,000 TL nominal Class A shares and 16,632,610 TL nominal Class B shares, while Ümit Gümüş will acquire 26,850,000 TL nominal Class B shares.

This acquisition is considered a significant strategic step taken by Altun Gıda in line with its long-term growth strategy, sustainable value creation approach, and vision of becoming a globally integrated food company.

Strategic Expansion in Branded Food

In line with its “From Nature to Life, Through Agriculture” approach, Altun Gıda, which continues its growth with a focus on quality, trust, sustainability, and technology, aims to diversify its fresh fruit and vegetable-focused business into packaged food categories with this investment. Thus, the company aims to extend its strong export position to the domestic market with branded products and expand its operations in this area as well. At the same time, it is planned to more effectively expand Seğmen Kardeşler Gıda’s brand portfolio to international markets and position it in new geographies. In the long term, the goal is to increase the visibility, reach, and competitiveness of Turkish food brands in global markets.

Under this agreement, we will manage Seğmen Kardeşler Gıda’s operations under the leadership of Altun Gıda. We believe that the combination of Seğmen Kardeşler Gıda’s brand strength and Altun Gıda’s international supply and export infrastructure will offer significant opportunities for scalable growth in different markets and the creation of a wider distribution network.”

Stating that the integration process will be managed in a way that combines the strengths of the two companies under a single structure, Anıl Altun continued: “One of our primary focus areas is integrating Altun Gıda’s export network, integrated supply chain infrastructure, and technology-oriented production capabilities into Seğmen Kardeşler Gıda’s operations. In this way, we aim to increase operational efficiency and further strengthen market access while preserving Seğmen Kardeşler Gıda’s existing brand strength. We will continue to share developments regarding the process with the public within the framework of relevant legislation.”
